1. Introduction

Welcome to NEXGN. These Terms of Service ("Terms") govern your use of our custom software engineering services, web application development, and proprietary Software-as-a-Service (SaaS) products. By accessing our website or utilizing our services, you agree to comply with and be bound by these Terms.

2. Custom Software Development Services

For clients engaging NEXGN for custom web development, API integrations, or bespoke software builds, project scope, timelines, milestones, and deliverables will be clearly defined in a separate Statement of Work (SOW) or Service Agreement. Milestone payments for these custom engineering services are final and non-refundable once work has commenced.

Special Section: NexGn YouTube Suite

The NexGn YouTube Suite is our proprietary AI-powered SaaS product designed for content creators. By subscribing to and utilizing this software, you agree to the following specific terms:

  • Usage Limits: Accounts are intended for individual or internal team use. Automated scraping, reverse engineering, or reselling of our AI outputs is strictly prohibited.
  • Account Provisioning: Access to the dashboard is granted digitally and instantly upon successful payment confirmation.
  • Strict Subscription Terms: All software subscriptions for the NexGn YouTube Suite are strictly non-cancellable and non-refundable during the active billing period. Once a payment is processed and access is granted, no refunds will be issued for any reason, including non-usage.

3. Payment and Billing

All payments for SaaS products and development services are processed securely via our authorized payment gateways. You agree to provide current, complete, and accurate purchase and account information for all purchases made.

4. Intellectual Property Rights

Unless otherwise stated in a custom development contract, NEXGN retains all intellectual property rights to our proprietary codebases, SaaS platforms, algorithms, and website designs. Clients retain full ownership of any content, scripts, or metadata they generate using our AI tools.

5. Limitation of Liability

NEXGN provides software solutions "as is." We do not warrant that the software will be entirely error-free or uninterrupted. In no event shall NEXGN be liable for any indirect, consequential, or incidental damages, including loss of profits, arising out of the use or inability to use our software or services.

6. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Ichalkaranji, Maharashtra.
